Terms of Service

These Terms of Service form a binding agreement between you and ZhiEra LLC, a Colorado limited liability company ("ZhiEra," "we," "us"). By creating an account, downloading the app, or using any part of the Services, you accept these Terms. If you don't accept them, please don't use the Services.

1. The Services

ZhiEra provides Global eSIM Access (an iOS app for buying and installing prepaid eSIM data plans) and related connectivity products. eSIM data is delivered by tier-1 carrier-facing partners; ZhiEra is the merchant of record for your purchase but is not itself a mobile network operator.

2. Eligibility & account

You must be at least 13 years old to create an account, and at least 18 to make a purchase. You are responsible for keeping your password and device secure. Notify us at business@zhiera.com if you believe your account has been compromised.

3. Acceptable use

Don't use the Services to:

• break the law of the country where the data is being consumed;
• evade SMS verification systems for fraud, spam, or account takeover;
• resell or rebrand the Services without our written consent;
• harass, threaten, or send unwanted commercial messages to other users;
• probe, attack, or attempt to disrupt our infrastructure or any third party's.

We may suspend or close an account, refund the unused balance, and refer behavior to authorities when these rules are broken.

4. Pricing & billing

Prices in the app include all applicable processing fees and the underlying carrier wholesale cost plus our markup, which covers payment fees, taxes, and operating cost. Prices may change at any time, but a price you saw at checkout is the price you pay for that purchase. We accept Stripe-supported card networks and crypto USDC where available.

5. Refunds

An eSIM is digital and country-locked once provisioned. We refund:

• Any unactivated eSIM, within 14 days of purchase, in full.
• An activated eSIM that fails on the upstream network, prorated by remaining balance, after we have collected logs to confirm the failure.
• Account-balance top-ups not yet spent, on request, less the payment processor's non-recoverable fee.

Refund requests go to business@zhiera.com; we respond within five business days.

6. User-generated content

You retain ownership of anything you create or send through the Services. Friend chat is end-to-end encrypted; we cannot read it. Reviews and other public content you post grant ZhiEra a non-exclusive, royalty-free license to display and distribute that content as part of the Services. Don't post content you don't have the right to share.

7. Intellectual property

The ZhiEra brand, the Global eSIM Access trademarks, the app source, the website, and our underlying systems belong to ZhiEra LLC. Nothing in these Terms grants you a license to copy, reverse-engineer, or redistribute them, except as expressly allowed by law.

8. Disclaimers

The Services are provided "as is." Cellular coverage, speed, and roaming partners are determined by the local carriers; we do not guarantee continuous availability. We do not warrant that any specific website, OTP system, or service will work over our connection.

9. Limitation of liability

To the maximum extent permitted by law, ZhiEra's aggregate liability for any claim arising out of or relating to the Services is limited to the amount you paid us in the twelve months before the claim, capped at US $200. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Governing law & disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Denver County, Colorado, except where mandatory consumer-protection laws of your home jurisdiction provide otherwise.

11. Changes

We may change these Terms. Material changes are announced in-app or by email at least 14 days before they take effect; continued use after that date constitutes acceptance.
